2. Description of Services

Arnima provides AI-powered voice agent services that enable businesses to:

• Handle inbound and outbound phone calls automatically
• Schedule appointments and manage calendars
• Qualify leads and capture customer information
• Provide customer support and answer inquiries
• Integrate with CRM systems and other business tools

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice.

3. User Accounts

Account Creation

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Eligibility

You acknowledge that you are responsible for compliance with the Telephone Consumer Protection Act (TCPA) and all other applicable federal, state, and local telemarketing laws and regulations. You agree to:

• Obtain proper consent before contacting individuals
• Maintain and honor do-not-call lists
• Comply with time-of-day calling restrictions
• Provide accurate caller ID information
• Include proper opt-out mechanisms in your communications

You agree to indemnify and hold Arnima harmless from any claims, damages, or penalties arising from your violation of these laws.

6. Payment and Billing

Fees

Access to certain features of our Services requires payment of fees. You agree to pay all fees according to the pricing plan you selected. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

Billing

By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for all charges incurred under your account, including applicable taxes.

Price Changes

We reserve the right to change our pricing at any time. We will provide you with reasonable notice of any price changes, and such changes will take effect at the start of your next billing cycle.

You retain ownership of any content you provide through our Services, including call scripts, prompts, and customer data. By using our Services, you grant us a limited license to use, store, and process your content solely to provide the Services to you.

Feedback

If you provide us with any feedback or suggestions about our Services, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback without any obligation to you.

8. Voice Data and Recordings

Our Services involve the recording and processing of voice calls. By using our Services, you acknowledge and agree that:

• Calls may be recorded for quality assurance and training purposes
• You are responsible for complying with all applicable call recording laws
• You must obtain proper consent before recording calls where required by law
• We may use anonymized voice data to improve our AI models

9. Third-Party Integrations

Our Services may integrate with third-party platforms such as GoHighLevel, HubSpot, and calendar applications. Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party services.

10. Warranties and Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Services will be uninterrupted, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The AI voice agents will perform exactly as a human would

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARNIMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, or the like that may be transmitted through the Services by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted or transmitted through the Services

12. Indemnification

You agree to indemnify, defend, and hold harmless Arnima and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including TCPA violations
• Your content or any content submitted through your account

13. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at support@arnima.ai. Termination does not relieve you of any obligations incurred prior to termination.

14. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Arnima is registered, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where Arnima is registered.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Arnima regarding the Services and supersede all prior agreements and understandings, whether written or oral.
